§ 01Agreement
By using ibusiness.com or contracting our services, you agree to these Terms. If you do not agree, do not use the site.
§ 02Services
ibusiness LLC provides HealthTech software development, integration, and consulting services to American private medical practices. The exact scope of any engagement is defined in a separate Statement of Work (SOW).
§ 03License
Subject to these Terms and the applicable SOW, ibusiness grants you a non-exclusive, non-transferable license to use the deliverables solely for your internal business purposes during the engagement.
§ 04HIPAA Business Associate
Where ibusiness functions as a Business Associate, the relationship is governed by a separate Business Associate Agreement (BAA) that takes precedence over these Terms with respect to PHI.
§ 05Acceptable use
You agree not to misuse the services: no reverse engineering, no use to violate any law, no use to send unsolicited commercial communications, no use that interferes with the security or integrity of the platform.
§ 06Disclaimers
The site is provided 'as is'. ibusiness is not a medical provider and does not provide medical advice. The AI agents we deploy include clinical kill-switches but are not a substitute for qualified clinical judgment.
§ 07Limitation of liability
To the maximum extent permitted by law, ibusiness is not liable for indirect, incidental, or consequential damages. Our total liability is capped at the fees paid in the twelve months preceding the claim.
§ 08Confidentiality
Each party agrees to keep the other's confidential information confidential and to use it solely for the purposes of the engagement.
§ 09Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
§ 10Changes
We may update these Terms. The 'Last updated' date will reflect any change. Continued use after changes constitutes acceptance.
